Individual Software definition

Individual Software means respective Individual Software version current as of the date of receipt of the Subscription Confirmation by the Sublicensee (hereinafter — the «Initial Individual Software Version») as well as all subsequent new versions of the Individual Software (hereinafter — the «Next Versions of Individual Software»), being modified or amended versions of the Initial Individual Software, the rights to use which are provided by the Sublicensor to the Sublicensee for the Fee during the Subscription Term. Team Productivity Software (hereinafter — the «Team Software») means computer programs specified on the Website as «team tools» and provided by the Sublicensor in the Territory, the exclusive right to which belong to the Copyright Holder and which may include or be integrated with Third Party Software (as defined below), including all functional components of such software whether or not protected by intellectual property rights, inter alia any images, texts, databases, logos, data and all other components specified in the software documentation or provided as a part of the software. Unless otherwise provided in this Agreement, Team Software means respective Team Software version current as of the date of receipt of the respective License Certificate by the Sublicensee. Prepaid Period means a period of one (1) calendar year during which the Sublicensee obtains the right to use all the Next Versions of Team Software within the Territory pursuant to this Agreement. The first Prepaid Period is calculated from the date of prepayment of the amount equal to the Fee by the Sublicensee. Each subsequent Prepaid Period is calculated from the end of the previous Prepaid Period regardless of the date of payment of the Fee, except in the case where one (1) year has lapsed since the end of the previous Prepaid Period. In such a case, the next Prepaid Period will start from the prepayment of the Fee by the Sublicensee to the Sublicensor for the use of the Next Versions of Team Software released within the new Prepaid Period.
Individual Software means a computer program to be produced by IMK according to the customer's specifications, regardless of its form (e.g. web programming, tool, program module, script), which may also consist of the adaptation or extension of another computer program, including any documentation owed;

Examples of Individual Software in a sentence

  • The Principal decides at his own discretion on the use of FOSS in Individual Software.

  • Conditions of this act are relevant to the health and safety of workers employed during construction and are reflected in the IEE.

  • Subject to this provision, the scope of application of these Terms and Conditions includes (1) the purchase of software not specifically created for the Principal and generally offered on the open market ("Standard Software"), as well as (2) software specifically developed or customized for the Principal ("Individual Software"), in each case irrespective of whether the software is delivered to the Principal as a separate product or as part of another product (for example, hardware, production facilities).

  • The Principal may, without being obliged to do so, provide the Contractor with one or more lists of FOSS Components and/or FOSS Licenses for which the approval for use in the development of Individual Software in the specific product or in a specific sub-product is deemed to be granted ("Allow List") or denied ("Deny List") by the Principal.

  • For final acceptance of the Individual Software, the Contractor shall make a declaration by means of the FOSS-DD (Clauses 2.b and 3.c of the FOSS-DD) that the product exclusively contains FOSS, which is covered by approvals granted by the Principal.

  • Insofar as the Contractor wishes to use FOSS in Individual Software, the Contractor must apply for and obtain the prior approval of the Principal by properly completing the FOSS-DD (Clause 2.b and Clauses 3.b. to 3.d. of the FOSS-DD).

  • The Principal may at any time until delivery or acceptance of the respective delivery or service, in particular of Individual Software, demand reasonable modifications and additions to the use of FOSS at his reasonable discretion, taking into account the interests of the Contractor.

  • For clarification: If the Contractor does not comply with the aforementioned conditions for approval to use FOSS in Standard Software and/or Individual Software, the corresponding approval of the Principal for the affected FOSS Component and/or FOSS Derivative is deemed not to be granted.

  • The Customer may not modify, edit, adapt, reverse-engineer, copy, disassemble, decompile or duplicate in any way the Customization and/or Individual Software or apply any other technical or logical procedure thereto in order to influence or gain information about its structure, processes, functioning or other protectable attributes.

  • The Reseller shall be responsible for providing license usage information to the Publishers, if such information is required by the Publishers, in a timely manner (e.g., for ‘true up’ assessments)2.2.1.2.2 Individual Software Licenses.

Related to Individual Software

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • SAP Group Software means (i) any and all software products listed on the Price List as well as any SAP SDK which are provided by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) under any part of this Agreement all as developed by or for the SAP Group; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to Maintenance Services or warranty obligation by any member of the SAP Group; and (iii) any complete or partial copies of any of the foregoing.

  • Font Software means the software provided by Branding with Type which, when used on an appropriate Device or Devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades, updates, related files, permitted copies, permitted conversions, and related documentation.

  • Company Software means Software owned or purported to be owned by or developed by or for the Company or any Company Subsidiary.

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.

  • Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.

  • Tyler Software means our proprietary software, including any integrations, custom modifications, and/or other related interfaces identified in the Investment Summary and licensed by us to you through this Agreement. • “we”, “us”, “our” and similar terms mean Xxxxx. • “you” and similar terms mean Client.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Public Software means any Software that contains, or is derived in any manner (in whole or in part) from, any software that is distributed as free software, open source software (e.g., Linux) or similar licensing or distribution models, including, without limitation, software licensed or distributed under any of the following licenses or distribution models, or licenses or distribution models similar to any of the following: (A) GNU’s General Public License (GPL) or Lesser/Library GPL (LGPL), (B) the Artistic License (e.g., PERL), (C) the Mozilla Public License, (D) the Netscape Public License, (E) the Sun Community Source License (SCSL), (F) the Sun Industry Standards License (SISL), (G) the BSD License, and (H) the Apache License.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Company Proprietary Software means all Software owned by the Company.

  • Customer Software means software which is owned by or licensed to the Customer, including software which is or will be used by the Supplier for the purposes of providing the Goods and/or Services but excluding the Supplier Software;

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Owned Software means all computer, software or firmware programs, modules or libraries owned or purported to be owned by the Company or any of its Subsidiaries.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Service Software means any and all software applications and any third-party or other software, and all new versions, updates, revisions, improvements and modifications of the foregoing, that Contractor provides remote access to and use of as part of the Services.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services.

  • Open Source Software means software or similar subject matter that is distributed under an open source license such as (by way of example only) the GNU General Public License, GNU Lesser General Public License, Apache License, Mozilla Public License, BSD License, MIT License, Common Public License, any derivative of any of the foregoing licenses, or any other license approved as an open source license by the Open Source Initiative or as a free software license by the Free Software Foundation.

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.
