Individual Consideration definition

Individual Consideration means, in respect of a Seller, together, the Cash Consideration payable and Consideration Shares to be issued to such Seller as notified to the Purchaser in the Final Completion Schedule;

Examples of Individual Consideration in a sentence

  • Where fees for certain procedures are shown in such Schedule of Fees as "I.C." (Individual Consideration) payment will be made on the basis of the usual, reasonable and customary charges for such procedures.

  • Effective October where a dental procedure which was, as of January an eligible expense under the Service’s Dental Plan is designated by the Ontario Dental Association as an Individual Consideration Code, (and therefore, an ineligible expense under the Service’s Dental Plan), the Board will reimburse a member who has undergone the procedure.

  • Subsequent installment payments will be made on the subsequent Payment Due Dates as specified in the Individual Consideration Calculation.

  • Not Otherwise Classified Codes (NOC) and/or Individual Consideration Codes (IC).

  • Anthem reserves the right to establish a rate for codes that are not priced in this PCS or in the Fee Schedule(s), including but not limited to, Not Otherwise Classified Codes ("NOC"), Not Otherwise Specified ("NOS"), Miscellaneous, Individual Consideration Codes ("IC"), and By Report ("BR") (collectively "Non-Priced Codes").

  • If a resolution cannot be reached, at Respondent’s discretion, Respondent shall stop payment of the Individual Consideration Payment (if not yet paid) pending a final resolution of the matter.
