Independent Value definition

Independent Value means the value of a Participating Interest determined in accordance with clause 16.12(3)(a).

Examples of Independent Value in a sentence

  • If (other than in clause 16.12) the Agreement requires that the Independent Value be determined, then the Independent Value must be determined by applying, with all necessary changes as the circumstances may require, the procedures set out in clause 16.12.

  • Except where expressly provided otherwise in the Agreement, the costs and expenses of determining the Independent Value must be paid by the Defaulting Participant.

  • Independent Valuer means a reputable independent valuer, having experience of not less than 10 (ten) years conducting valuation of businesses of similar type and standing as the Borrower, not affiliated with the Lender or Borrower, chosen by the Lender with the consent of the Borrower (such consent not to be unreasonably withheld or denied);

  • Independent Valuation has the meaning set forth in Section 1.68(d).

  • Independent Valuation Provider means any of ▇▇▇▇▇▇▇ & Marsal, ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇ & ▇▇▇▇▇ Capital, Inc., Duff & ▇▇▇▇▇▇ LLC, ▇▇▇▇▇▇, ▇▇▇▇▇▇ and Company, Lincoln Partners Advisors, LLC, ▇▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇, LLC and Valuation Research Corporation and ▇▇▇▇▇, or any other Independent nationally recognized third-party appraisal firm selected by the Administrative Agent, and reasonably acceptable to the Borrower.

  • Current Value shall have the meaning set forth in Section 11(a)(iii) hereof.

  • Replacement Value means the price, including accrued interest, at which Equivalent Securities to the Borrowed Securities could be purchased in the principal market for such securities at the time of election by State Street under Section 13.1 hereof.
