Independence Acquisition definition

Independence Acquisition means the acquisition, directly or indirectly, by the Borrower of all of the issued and outstanding limited liability company interests of the Independence Acquired Companies pursuant to the terms and conditions of the Independence Acquisition Documents.

  • An Independence Acquisition Proposal which is received and considered by the Independence Board in compliance with this Section 5.6(a) and which meets the requirements set forth in clause (D) of the preceding sentence is herein referred to as an “Independence Superior Proposal.” Independence agrees that it will immediately cease and cause to be terminated any existing activities, discussions or negotiations with any parties conducted heretofore with respect to any Independence Acquisition Proposals.
