From time to time after the IND Date, and solely to the extent not previously disclosed, Ultragenyx shall, and shall cause its Affiliates to, without additional compensation, disclose and make available to Takeda, in whatever form Takeda may reasonably request, all Regulatory Materials Controlled by Ultragenyx and related to the use of an Exercised Product in the Exercised Countries.
On each anniversary of the First IND Date thereafter during the Term, Bellicum shall pay to BioVec a nonrefundable license maintenance fee of one hundred and fifty thousand U.S. dollars ($150,000 USD).
The first warrant shall be signed and delivered by Buyer to Supplier within five (5) days after IND approval for a product using the Pigs (the "IND Date").
The Parties hereto acknowledge and agree that filing of an IND for a Licensed Product on or before the IND Date shall be evidence of compliance by CancerVax with its commercial diligence obligations under this Agreement.
No termination of this Agreement shall (i) affect the Company’s or the Investor’s rights or obligations under this Agreement with respect to pending purchases (including any pending IND Date Purchase, Regular Purchase or Accelerated Purchase) under this Agreement or (ii) be deemed to release the Company or the Investor from any liability for intentional misrepresentation or willful breach of any of the Transaction Documents.
The first warrant may be exercised at anytime and from time-to-time for ten (10) years following the IND Date.
Subject to the terms and conditions of this Agreement, in addition to purchases of Purchase Shares as described in Sections 2(a) and 2(b) above, upon the occurrence of the IND Date, and provided that no event has occurred that could have a Material Adverse Effect, the Investor shall purchase $1,000,000 worth of Purchase Shares (such purchase the “IND Date Purchase” and such Purchase Shares are referred herein as “IND Date Purchase Shares”) at the Purchase Price on the applicable Purchase Date.
The first warrant may be exercised at anytime and from time-to-time for three (3) years following the IND Date.
