The proceeds of the 2019-B Term Loans shall be used solely to consummate the Incremental Transactions.
Use the proceeds of the Incremental Term Loans made on the Incremental Amendment Effective Date, together with any equity contribution from the Sponsors and other equity investors and cash on hand, for the following purposes: (i) effect the Acquisition and the Debt Repayment (each as defined in Incremental Amendment No. 1), (ii) pay costs and expenses related to the 2018 Incremental Transactions and (iii) for working capital and general corporate purposes.
The Incremental Transactions shall have been consummated or shall be consummated substantially simultaneously with the funding of the Incremental Term Loan on the Incremental Effective Date in accordance with applicable law.
The Administrative Agent shall have received a solvency certificate from the chief financial officer (or a similar Authorized Officer) of the Borrower and Holdings in the form of Exhibit J to the Credit Agreement, which certifies that the Borrower and Holdings and its Restricted Subsidiaries, on a consolidated basis, are, and immediately after giving effect to the Incremental Transactions, will be, Solvent.
On the Incremental Effective Date, immediately before and after giving effect to the Incremental Transactions, no Default shall have occurred and be continuing.
