Incremental Dollar Basket definition

Incremental Dollar Basket has the meaning specified in clause (i)(A) of the proviso of Section 2.16(a).

Incremental Dollar Basket has the meaning assigned to such term in the definition of Incremental Cap. “Incremental Equivalent Debt” means Indebtedness in an amount not to exceed the Incremental Cap (at the time of incurrence and after giving Pro Forma Effect) incurred by any Loan Party consisting of senior secured first lien notes or loans, junior lien loans or notes, subordinated loans or notes or senior unsecured loans or notes, in each case in respect of the issuance of notes, issued in a public offering, Rule 144A or other private placement or any bridge financing in lieu of the foregoing (and any Registered Equivalent Notes issued in exchange therefor), or secured or unsecured “mezzanine” debt, in each case; provided that (i) the conditions and terms set forth in (1) Sections 2.20(b)(i), (b)(ii), (b)(iii) and (b)(v) and (2) in the case any Incremental Equivalent Debt in the form of term loans that are secured on a pari passu basis with the Loan Document Obligations, the MFN Provision, shall have been complied with as if such Indebtedness was an Incremental Term Loan; provided that (i) Customary Bridge Loans shall not be subject to the Maturity Limitation, (ii) if such Incremental Equivalent Debt is secured by a Lien on the Collateral that is junior to the Liens securing the Loan Document Obligations, the Senior Representative for such Indebtedness shall enter into a Second Lien Intercreditor Agreement, (iii) if such Indebtedness is secured by a Lien on the Collateral that is pari passu with the Liens securing the Loan Document Obligations, the Senior Representative for such Indebtedness shall enter into a First Lien Intercreditor Agreement and (iv) any such Incremental Equivalent Debt shall reflect market terms and conditions at the time of incurrence or issuance thereof, in each case, as determined in good faith by the Borrower. “Incremental Facility Amendment” has the meaning assigned to such term in Section 2.20(e). “Incremental Facility” has the meaning assigned to such term in Section 2.20(a). “Incremental Revolving Commitment Increase” has the meaning assigned to such term in Section 2.20(a).

  • In addition to the foregoing, from the Closing Date until the Syndication End Date, the Borrower shall be prohibited from (i) incurring any Incremental Term Loans pursuant to the Incremental Dollar Basket or the Incremental Ratio Basket, (ii) utilizing the Inside Maturity Date Basket and/or (iii) consummating any acquisition for which the aggregate consideration exceeds $100,000,000.

  • Maximum Incremental Amount means, at any time, the sum of (a) $1,400.0 million minus the Dollar Equivalent amount (measured at the time of incurrence) of New Term Loans, New Revolving Commitments and Permitted Alternative Incremental Facilities Debt previously established or incurred in reliance on this clause (a) plus (b) the aggregate Dollar Equivalent amount (measured at the time of prepayment or reduction) of Term Loans and Revolving Commitments outstanding on the Closing Date (or established pursuant to clause (a) above) that are optionally prepaid or optionally reduced (other than with the proceeds of long-term Indebtedness (other than borrowings under any revolving credit facility) and other than Revolving Commitments replaced with New Revolving Commitments) following the Closing Date and on or prior to such time (and, in the case of any prepayment of Term Loans pursuant to Section 2.08(d), based on the Dollar Equivalent amount (measured at the time of each applicable prepayment) expended by the Borrowers pursuant to such Section 2.08(d) and not the principal amount) plus (c) an unlimited amount so long as, in the case of this clause (c) only, on a pro forma basis (including the application of proceeds therefrom but excluding any increase in cash and cash equivalents and treating any New Revolving Commitments established pursuant to this clause (c) as fully drawn and all Permitted Alternative Incremental Facilities Debt incurred pursuant to this clause (c) as secured by Liens whether or not actually secured (but without giving effect to any substantially simultaneous incurrence of any New Term Loans, New Revolving Commitments or Permitted Alternative Incremental Facilities made pursuant to the foregoing clauses (a) and (b))), the Consolidated Secured Debt Ratio would not exceed 3.00 to 1.00 (it being understood that the Borrowers shall be deemed to have used amounts under clause (c) (to the extent compliant herewith) prior to utilization of amounts under clause (a) or (b)).

  • Bid Incremental value means the minimum amount over and above the last highest bid amount by which any participating Qualified Bidder will be required to increase the next bid on the auction portal;

  • Initial Dollar Principal Amount means $1,000,000,000, or such higher amount as is specified in any Notice of Additional Issuance under Section 2.09 hereof.

  • Incremental Revolving Increase has the meaning set forth in Section 2.16(a).
