If, in fact, the Plan Target for a given year exceeds fifty percent (50%) of Executive's Base Salary, then Executive's total possible bonus compensation for that year shall be equal to (i) the Target Bonus, plus (ii) the difference between the Plan Target and the Target Bonus (the "Incremental Bonus"), with the Target Bonus based on the Benchmarks, and the Incremental Bonus based on the criteria set by the Board of Directors or the Compensation Committee under the Bonus Plan.
The Employee shall be entitled to an incentive bonus upon the Final Payment Date equal to $2.25 million (the "Minimum Bonus") plus the applicable bonus percentages of the incremental value of the Constituency Payment Pool in excess of the Hurdle Amount as set forth on the chart below (the "Incremental Bonus" and, collectively with the Minimum Bonus, the "Incentive Bonus"); provided, however, that the Incentive Bonus shall not exceed $10,000,000.
