Incentive Value definition

Incentive Value means, with respect to an Incentive Option Trigger Event, the "Incentive Value" determined in accordance with Schedule I hereto based on the Equity Value with respect to such Incentive Option Trigger Event; provided, however, that if, at the time the Incentive Value is being determined with respect to a particular Incentive Option Trigger Event, any Incentive Payment Amount shall have been paid with respect to any previous Incentive Option Trigger Event or Events, then the Incentive Value determined in accordance with Schedule I for such then-current Incentive Option Trigger Event shall be reduced (but not below zero) by an amount equal to the aggregate of the Incentive Values used (after any application of this proviso) in connection with the calculation or calculations under Section 3.2 with respect to such previous Incentive Option Trigger Event or Events.
Incentive Value shall be determined as follows:

Examples of Incentive Value in a sentence

  • Payment of the Long-Term Incentive Value for each LTI Unit, as adjusted pursuant to Sections 3 and 6 of this Agreement, will be settled in cash only.

  • Without limiting the generality of the foregoing, the Executive shall be entitled to receive long-term incentive compensation (whether in cash, equity awards, or a combination thereof) having a value, on an annualized basis, at least equal to the annualized value of the long-term incentive compensation component of the Executive's total compensation, as established by the People Committee of the Board most recently before the Effective Date (such value, the "Recent Long-Term Incentive Value").

  • The Schedule A Value (as that term is defined below in Subparagraph 3(b)), if any, and the Stock Incentive Value (as that term is defined below in Subparagraph 3(c)), if any, will be determined as specified in Paragraph 3 or 4 hereof, as the case may be.

  • A LTI Unit represents the right to receive in cash, upon vesting, as set forth in Section 3, the Long-Term Incentive Value of one share of Occidental Common Stock, $0.20 par value (the “Common Stock”).

  • If the Equity Value is greater than Chf 1,550 million but less than or equal to Chf 1,650 million, then the Incentive Value is the sum of (i) Chf 73 million and (ii) 14% of the amount by which the Equity Value exceeds Chf 1,150 million.

  • For example, if the Equity Value were Chf 1,600 million, the Incentive Value would be Chf 136 million, which is the sum of (i) Chf 73 million, and (ii) 14% of Chf 450 million, or Chf 63 million.

  • In no event may the Committee amend any provision hereof so as increase or otherwise adjust upward the Schedule A Value or any component thereof or the Stock Incentive Value.

  • A LTI Unit represents the right to receive in cash, upon vesting, as set forth in Section 3, the Long-Term Incentive Value of one share of Occidental Common Stock, $0.20 par value (the "Common Stock").

  • Vested Long-Term Incentive Value shall be calculated using the value at Termination Date, based on the Committee’s chosen methodology for such valuation (e.g., closing stock price on Termination Date, average of closing stock prices during the 30-day trading period prior to and including the Termination Date, etc.).

  • Site Inspection Flight Incentive (Value: up to $1,200) • Visit ▇▇▇▇▇▇▇ will offer up to two flight tickets for up to $600 each for client to come in for a site inspection.

Related to Incentive Value

  • Unit Value means, at any time, the value of each Stock Unit, which value shall be equal to the Fair Market Value (as defined in the Plan) of a Share on such date.

  • Target Bonus Amount means Executive’s target annual bonus amount in effect at the time of Executive’s Qualifying Termination (disregarding any decrease in such target annual bonus amount that constitutes a Good Reason event).

  • Baseline Value for each of the Company and the Peer Companies means the dollar amount representing the average of the Fair Market Value of one share of common stock of such company over the five consecutive trading days ending on, and including, the Effective Date.

  • Average Incentive Compensation means the average of the annual incentive compensation under Subparagraph 3(a) received by Executive for the three (3) immediately preceding fiscal years or such fewer number of complete fiscal years as Executive may have been employed by the Company. In no event shall “Average Incentive Compensation” include any sign-on bonus, retention bonus or any other special bonus. Notwithstanding the foregoing, if the Executive breaches any of the provisions contained in Paragraphs 4 and 5 of this Agreement, all payments of the Severance Amount shall immediately cease. Notwithstanding the foregoing, in the event Executive terminates his employment for Good Reason as provided in Subparagraph 6(e), he shall be entitled to the Severance Amount only if he provides the Notice of Termination provided for in Subparagraph 6(f) within thirty (30) days after the occurrence of the event or events which constitute such Good Reason as specified in clauses (A), (B), (C), (D), (E) and (F) of Subparagraph 6(e);

  • Incentive Bonus means a bonus opportunity awarded under Section 9 pursuant to which a Participant may become entitled to receive an amount based on satisfaction of such performance criteria as are specified in the Award Agreement.
