If Applicant breaches Applicant’s obligations with respect to the sharing of Confidential Information, including, without limitation, the sharing of Incentive Rates for approved or not approved Aggregations without the express written consent of Con Edison, then Applicant shall be in default of this Agreement.
Applicant may also be considered in default of this Agreement if Applicant fails to adhere to the representations made pursuant to Section XX hereof, including, without limitation, that Applicant must notify Con Edison within ten business days and provide the identity of the disclosing party if Applicant receives information from another party regarding Incentive Rates for approved or not approved Aggregations.

Incentive Rates are based on the first character of fare basis code.
To take advantage of the Incentive Rates, each employee and covered spouse as applicable, must complete an annual Health Risk Assessment and participate in biometric screening provided annually by the College (e.g. blood testing, cholesterol screening).
If the employee and covered spouse participate in the following programs, the premium monthly co-payments, annual deductibles, and annual out-of-pocket maximums shall be at the Incentive Rates as listed below.

Shipper shall not directly or indirectly protest, complain, or take any action that is designed to or may delay review or approval of the Joint Tariff, including the Incentive Rates (and the Indexed Rates, unless the foregoing are in conflict with the terms of this Agreement; provided, that nothing in the foregoing shall restrict Shipper from protesting any future changes to the the Joint Tariff that is not consistent with this Agreement.
