InCentive Offer definition

InCentive Offer means the public tender offer by the Company to acquire all issued and outstanding InCentive Shares substantially on the terms and conditions referred to in the Offer Documents, as amended, supplemented or otherwise modified in accordance with the terms of this Agreement.
InCentive Offer means either (a) a discount in the purchase price of Spoken-Word Audio Products offered for sale from or through the Spoken-Word Audio Sub-Section or (b) an equivalent benefit upon purchase of a Spoken-Word Audio Product from or through the Spoken-Word Audio Sub-Section.
InCentive Offer means either (a) [*] or (b) a substantially equivalent benefit upon purchase of a product from or through the LLC Site if delivery is taken via the Company Delivery Option.
