Incentive Awards definition

Incentive Awards means: any monetary amounts awarded by the Court in recognition of the assistance of any Plaintiff(s) and/or Named Plaintiff in the prosecution of the Action and payable pursuant to § 7.1.5, below.
Incentive Awards means, collectively, the outstanding Company Options, Equity Incentive Awards, Legacy Options, and Legacy RSUs granted under the Company Option Plan, the Equity Incentive Award Plan, the Legacy Share Option Plan and the Legacy RSU Plan, respectively.
Incentive Awards means the Equity Securities that may be granted under the Equity Incentive Plans from time to time; as of the date of this Agreement, Incentive Awards include Unvested RSUs, Restricted ADSs and Options of the Company and Subsidiary RSUs and Subsidiary Options of Actions Zhuhai.

Examples of Incentive Awards in a sentence

  • Any order or proceeding relating to the Fee Awards or Incentive Awards, or any appeal from any order relating thereto, or any reversal or modification thereof, shall have no effect on the Settlement and shall not operate to, or be grounds to, terminate or cancel the Settlement Agreement or to affect or delay the finality of the Final Approval Order or Judgment.

  • Intervenors’ Incentive Awards will be at the sole discretion of the Court, which may award an amount less than Twenty Five Hundred Dollars ($2,500.00) each.

  • Class Counsel and Vesting Subclass Counsel shall petition the Court for Fee Awards and Incentive Awards on the date set by the Court in its Preliminary Approval Order.

More Definitions of Incentive Awards

Incentive Awards means the Court-approved awards to Plaintiffs in recognition of their time and effort in pursuing the Consolidated Action, fulfilling their obligations and responsibilities as class representatives, and agreeing to the Additional Releases.
Incentive Awards means the payments awarded by the Court to the Representative Plaintiffs, as set forth in Paragraphs 5.2 and 5.3.
Incentive Awards means awards under an incentive program, the amount of which is determined in whole or in part upon specific performance targets relating to the financial results of the Company; (ii) the term executive officer means the CEO and his direct reports, who are eligible to participate in such incentive program; and (iii) notwithstanding anything to the foregoing, this clawback policy shall apply as required by any current or then existing rules of the SEC at the time of such restatement.
Incentive Awards means the service awards, if any, awarded by the Court to Plaintiffs following the petition for such awards by Plaintiffs as described in Section 2.6.
