ImV has the meaning set forth on the cover page of this Agreement.

ImV shall have the meaning set forth in the preamble to this Agreement. "IMV Capital Stock" shall have the meaning set forth in Section 4.02 of this Agreement. "IMV Common Stock" shall have the meaning set forth in the recitals to this Agreement. "IMV Material Adverse Effect" shall mean an event or change, individually or in the aggregate with other events or changes, that could reasonably be expected to have a material adverse effect on (a) the business, properties, prospects, condition (financial or otherwise) or results of operations of IMV taken as a whole (other than those events, changes or effects resulting from general economic conditions or the industry in which IMV is engaged generally) or (b) the ability of IMV to consummate the transactions contemplated hereby. "IMV Stockholders" means the holders of common stock in IMV.
