IMS Contracts definition
IMS Contracts means all the contracts and agreements to which IMS or any of its Affiliates is a party or by which it or any of its Affiliates is bound immediately prior to the Effective Time, except the ST Contracts.

Part 3.10(a) of the Disclosure Schedule identifies each IMS Contract that is a Material Contract and to Maxtor's Knowledge provides an accurate and complete description of all oral IMS Contracts that are Material Contracts.
The Company has in its actual possession and direct control accurate and complete copies of all IMS Contracts that are Material Contracts, including all amendments thereto.
