Improvement or Improvements definition

Improvement or Improvements means any patented modification of a system, method, or product described in the PATENTS, provided such a modification, if unlicensed, would infringe one or more claims of issued PATENTS.
Improvement or Improvements means any item which is affixed to the Premises or affixed to any improvement thereto and which cannot be removed without material damage to the Premises or another improvement.
Improvement or Improvements means all structures, facilities, amenities and the like located on the Property.

Examples of Improvement or Improvements in a sentence

  • Should one or more of the Improvements set forth on Exhibit "D" not be completed within ten (10) years from the date of this Agreement, the Township, upon Developer's written request, shall return to Developer the sum contributed for such Improvement or Improvements.

  • Lessee agrees to notify Lessor in writing at least thirty (30) days before it removes any such Improvement or Improvements which had an original cost exceeding Five Million Dollars ($5,000,000), individually or Ten Million Dollars ($10,000,000) in the aggregate, and Lessee shall at its expense repair any damage to the Leased Property caused by the removal of such Improvement.

  • The University will advise OXiGENE of all Improvements, and OXiGENE shall have the right to add any or all Improvements to the license granted hereunder by written notice to the University given within thirty (30) days of receipt of such notice, whereupon such Improvement or Improvements will become subject to the terms hereof, except that the license to Improvements shall be nonexclusive and all royalty rates shall be one-half of the amounts set forth in Section 5.2 and 5.3 hereof.

  • Based upon the Budget, (i) the Available Loan Commitments and the Available Lessor Commitments will be sufficient to complete the Improvement or Improvements for which the Requisition relates and (ii) the Budget is In Balance.

  • Tenant has requested that Landlord construct the improvements identified on Exhibit 2A to this Amendment on the "demised premises" (as herein defined), and Landlord is willing to construct the improvements ("Improvement" or "Improvements") on and subject to the terms and conditions set forth in this Amendment.

Improvement or Improvements means those unencumbered technology advances in the formulation, manufacture or structure of Clofarabine or any Product made by or on behalf of Management during the term of this Agreement that are either within the scope of and would constitute an infringement of the Patent claims or use Technical Information and are within the Field.
