Improper Procedures definition
Improper Procedures means (in respect of any Decision or any failure to implement a Supply Decision or any failure to implement a Strategic Supply Decision) GSS (a) failing to act in accordance with the Contractual Documentation; or (b) acting in a manifestly unreasonable or irrational or arbitrary manner;
