Implied Enterprise Value definition

Implied Enterprise Value means the enterprise value implied by an Alternative Proposal.
Implied Enterprise Value means the total aggregate proceeds actually received by the Company or its Members in a Deemed Liquidation Event plus all indebtedness of the Company and its Subsidiaries.
Implied Enterprise Value as of the last day of any calendar quarter, means the product of (i) the consolidated EBITDA of the Company and its subsidiaries for the preceding 12-month period and (ii) 9.75.
