IMPLIED CAPITAL definition

IMPLIED CAPITAL means, as of any date, THE PRODUCT OF (a) the closing price on the immediately preceding trading day for Borrower's common stock, as reported in THE WALL STREET JOURNAL, TIMES (b) THE SUM OF (i) the number of issued and outstanding shares of common stock of Borrower on such date, and (ii) the number of issued and outstanding shares of common stock of Borrower that would be issued and outstanding on such date if all options, warrants, and other securities, rights, or instruments that are convertible into common stock of Borrower are exercised or converted on such date.
IMPLIED CAPITAL means (a) prior to the exercise of the underwriter's overallotment option, or if such option is not exercised, THE PRODUCT OF (i) the issue price for Borrower's common stock pursuant to the IPO, TIMES (ii) the number of issued and outstanding shares of common stock of Borrower on the date of the IPO, and (b) after the exercise of the underwriter's overallotment option, if so exercised, THE SUM OF (i) the amount calculated in (A) above, PLUS (ii) the PRODUCT of (A) the issue price for Borrower's common stock pursuant to the overallotment option, TIMES (B) the number of shares of common stock of Borrower issued pursuant to the overallotment option.

  • Contributed Capital means, with respect to a Common Unitholder holding Capital Commitments, the aggregate amount of capital contributions from such Common Unitholder’s Capital Commitments that have been funded by such Common Unitholder to purchase Units. For the avoidance of doubt, Contributed Capital will not take into account distributions of the Fund’s investment income (i.e., proceeds received in respect of interest payments, dividends or fees, net of expenses) to the investors. Following the Investment Period, the Adviser may issue Drawdown Notices, and Common Unitholders will be required to make Drawdown Purchases, for the purposes described in Section 4.1(b).

  • Fixed capital cost means the capital needed to provide all the depreciable components.

  • Qualified Capital Stock means any Capital Stock that is not Disqualified Capital Stock.

  • Committed Capital means $20,837,637.00 for 14,129,250 Class A Capital Units to be issued with respect to Members receiving Class A Capital Units in the Reorganization, and, with respect to any additional Members, the purchase price of the Capital Units subscribed for in any subsequent offering pursuant to a subscription agreement that has been accepted by the Company, regardless of whether such purchase price has been fully paid.

  • Qualified Capital Interests in any Person means a class of Capital Interests other than Redeemable Capital Interests.
