IMPACT Technology definition

IMPACT Technology means the Services, Documentation, platform, software, works of authorship, inventions, technology, hardware, processes, algorithms, user interfaces, know-how, trade secrets, techniques, designs, and other tangible or intangible technical material or information of IMPACT, and any derivative works, improvements or modifications to any of the foregoing.

  • IMPACT reserves all rights, title and interest in and to, as well as all Intellectual Property Rights in, the IMPACT Technology, and IMPACT Non-Personal Data, subject to the limited, non-exclusive, revocable, access and use rights expressly provided for herein.

  • As between IMPACT and COMPANY, COMPANY shall be solely responsible for each User’s acts, errors or omissions relating to the use of the Services or other IMPACT Technology.

  • However, our Advisors may provide clients with consulting assistance regarding proxy issues if such assistance is sought.

  • No User may be a competitor of IMPACT or use the IMPACT Technology to compete with IMPACT.

  • Each Party shall notify the other Party promptly in writing if it becomes aware of any unauthorized access or use of the IMPACT Technology.
