From the date hereof until the termination of this Agreement in accordance with paragraph 21 (the "Exclusivity Period"), Isotechnika agrees to deal exclusively with Aurinia and ILJIN in regard to the Merger and Transaction or any transaction similar to the Merger and Transaction contemplated by this Agreement.
ILJIN may not rely on the failure to satisfy any of the above conditions precedent as a basis for non-compliance by it with its obligations under this Agreement if the condition precedent would have been satisfied but for a material default by ILJIN in complying with its obligations hereunder.
ILJIN will also provide to Aurinia’s and Isotechnika’s legal counsel on a timely basis copies of any notice of appearance or other documents served on ILJIN in respect of such lawsuit or proceeding.
Upon completion of the Merger, the Combined Company shall have a board of directors ("Board") composed of seven directors as follows: (a) two members nominated by ILJIN; (b) two - 3 - members nominated by Aurinia; and (c) three members nominated by Isotechnika, these Isotechnika nominees are subject to the 3SBio licensing agreement and subject to compliance with all applicable laws and the requirements of the Toronto Stock Exchange ("TSX").
The Parties agree that, concurrent with completion of the Merger and the ILJIN Share Transfers, the Parties shall execute and deliver mutual releases ("Releases") whereupon each Party shall forebear all rights to continue or pursue any legal proceedings arising, to the date of this Agreement, out of the relationships between the Parties insofar as they relate to the ILJIN DDLA, the Vifor Agreement and any related licenses and sublicenses.
The Parties agree that, in the event: (a) that the Merger is not completed; or (b) of any liquidation, bankruptcy or other insolvency event as set out in paragraphs 10 or 11, each of the ILJIN DDLA and/or the Vifor Agreement, as applicable, and all rights, licences and obligations thereunder shall be returned to the applicable Party in good standing in accordance with paragraphs 10 and 11, respectively.
This Definitive agreement ("Agreement") will confirm our understanding of the terms of the transaction ("Transaction") as set out in the Term Sheet dated January 281 2013 and act as the Definitive Agreement between Aurinia, Isotechnika and ILJIN Life Sciences.
The representations and warranties of Aurinia, Isotechnika and ILJIN contained herein will survive the execution and delivery of this Agreement and will terminate on the earlier of the termination of this Agreement in accordance with its terms and the Effective Time.
