ILEC Services definition

ILEC Services means any of the following products or services: (a) Advanced Services, Information Service, InterLATA Service, Telephone Exchange Service, Electronic Publishing Service, or any other Telecommunications Service (other than where such services are used solely as part of Wireless Services); (b) all current and future ancillary features and services offered in conjunction with any of the services listed in clause (a), including, but not limited to, voice mail, caller ID, call waiting, directory listing services, calling card services, toll calling plans and associated CPE and any successors thereto; (c) security services, virtual private networks and associated CPE; and (d) any product or service that emulates or replicates the foregoing utilizing an IP protocol and the PSTN (including IP telephone, IP fax, unified messaging and Internet call waiting and associated CPE). For the purpose of this definition, the terms Information Service, InterLATA Service, Telephone Exchange Service and Telecommunications Service have the respective meanings set forth in Section 3 of the Communications Act and the term Electronic Publishing Service has the meaning set forth in Section 274(h) of the Communications Act.

ILEC Services means (i) those local exchange, exchange access, video, broadband internet and switched long distance (LD) services offered by Seller and its Subsidiaries as of the date of this Agreement or as of the Closing to residential, business and wholesale customers located in LATA 920, or in the case of a customer that receives services in more than one LATA, solely that portion of the services that are provided in LATA 920, as described in Annex 1.1(b), as well as switched long distance (LD) offered by SAI, and (ii) any other services provided by the Transferred Companies as of the date of this Agreement or as of the Closing, in each case other than the services identified in Annex 1.1(c).

ILEC Services means, as the following services are provided as of any of (x) the date of this Agreement, (y) December 31, 2014 or (z) immediately prior to the Closing, in each case after giving effect to all changes to such services as are made from December 31, 2014 until immediately prior to the Closing (a) in the Ordinary Course and not in violation of Section 6.2(a) (as if such covenant were in effect as of December 31, 2014) or (b) that are otherwise required or expressly permitted by this Agreement (including the Seller Schedules), all of the incumbent local exchange carrier business activities and operations of Seller and its Affiliates in the States consisting of (i) local exchange services and exchange access, (ii) “intraLATA” toll services, (iii) network access services, (iv) enhanced voice and data services and (v) video services, broadband services, digital subscriber line services, fiber-to-the-premise high speed Internet in the States, wholesale services, operator services, payphone services, directory assistance services, special access services, unbundled network element platform services, customer service to end users, resale services, colocation services and any other services provided by Seller and its Subsidiaries (including the Transferred Companies) exclusively related to the delivery of the foregoing services, and, in connection with any of the foregoing, repairs, billing and collections.

  • To the Knowledge of Seller, the IT Systems are in good working condition to effectively perform all information technology operations necessary to conduct the portion of the Transferred Business (including the ILEC Services) that such IT Systems support.

  • The ILEC Services constitute all of the material services provided by the Transferred Companies to customers on the date of this Agreement and immediately prior to the Closing.

  • The obligations hereunder shall extend to Integrated Products that may function and interoperate with Agent's ILEC Services (but not with those of the Other Agent) or with the Other Agent's ILEC Services (but not with Agent's ILEC Services), notwithstanding that such Integrated Products may be redundant with other Integrated Products developed by NewCo. NewCo shall give Agent written notice in reasonable detail of Integrated Products that it has committed to develop.

  • Cloud Services means SAP’s then-current cloud services offered under and described in detail in the applicable SAP PartnerEdge Model.
