IIU means the unit established within MPW with a composition and role described in paragraphs A.1 and A.2 of Section I of Schedule 2 to the ▇▇▇ Financing Agreement.

• Custodian is responsible for the Assets only until they have been transmitted to and received by other persons as permitted under the terms of this Agreement, except Custodian remains responsible for all Assets held by a sub-custodian employed pursuant to Section II.U, a nominee, correspondent, depository or the Federal Reserve Book-Entry system, or other agent, all of which entities shall be deemed agents of Custodian.

• The REMIC IIU Regular Interests are hereby designated as the "regular interests" (within the meaning of Section 860G(a)(1) of the Code), and the Class R-IIU Certificates are hereby designated as the sole Class of "residual interests" (within the meaning of Section 860G(a)(2) of the Code), in REMIC IIU.

• Refunds will be issued only as specifically provided in this section II.T and sections II.U, II.V, and II.X.

• The Agreement also permits the amendment thereof, in certain circumstances, including any amendment necessary to maintain the status of REMIC I, REMIC II, REMIC IIU or REMIC III as a REMIC, without the consent of the Holders of any of the Certificates.

IIU means IIU Nominees Limited, a company ultimately beneficially owned by Mr.Dermot Desmond;
