IET Technology definition

IET Technology means, the IET Equipment, IET Method, IET Software, IET Documentation, IET Specifications and all Proprietary Materials related to, necessary for or useful in the operation, use and enjoyment of the IET Equipment by authorized purchasers.

  • The grant of rights hereunder shall not take effect until Royal has purchase, and IET has sold, a ten ton per day system for installation in Be▇▇▇▇ ▇r Fr▇▇▇▇▇▇ ▇ounty, Washington, or such other location as the parties may mutually agree, and the parties have commenced a one hundred ton test in this ten ton per day system to demonstrate the efficacy of the IET Technology in the processing of suitable ores.

  • IET shall prepare, file, prosecute, and maintain all patent rights contained within the IET Technology.

  • As between Fulcrum and IET under this Agreement, IET is and shall be the sole and exclusive owner of all IP Rights in and to the IET Technology whether or not used in or contributed to the MPLA Activities.

  • Fulcrum shall assign, and hereby perpetually and irrevocably assigns to IET, all such right, title and interest in and to the Fulcrum Improvements to IET Technology.

  • The grant of rights hereunder shall not take effect until Royal has funded at direct cost, and IET has performed, a one tone test in IET's facilities to demonstrate the technical efficacy of the IET Technology in the processing of suitable ores.

  • The Parties recognize that as a result of obligations created under this Agreement Fulcrum will gain substantial access and understanding of IET Equipment and IET Technology.

  • Royal shall have no right to sublicense the IET Technology until and unless IET shall exercise the warrants granted in the preceding paragraph 3.

  • IET shall be solely responsible for maintaining such Fulcrum Improvements to IET Technology.

  • In no event shall this license be deemed to grant Fulcrum any rights not expressly provided herein including, without limitation, any right to make, use or sell IET Technology.

  • Upon first commercial use of the IET Technology for the processing of any copper, gold, or silver bearing ores, at any property owned or controlled by Royal, Royal shall report to IET the date of such first commercial use of the IET Technology for the processing of any copper, gold, or silver bearing ores, within sixty (60) days of occurrence in each property owned or controlled by Royal.

  • Joint Technology means the Joint Know-How and the Joint Patent Rights.

  • Product Technology means the Product Know-How and Product Patents.

  • Program Technology means Program Know-How and Program Patents.

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.
