Notwithstanding Section 2.1(b), prior to the Supplier procuring and delivering its IE Certificate pursuant to Section 2.6(a)(iv), the Supplier may elect to reduce the Contract Capacity to a lower amount by giving notice to the Sponsor, provided that such lower amount is no less than 75% of the original Contract Capacity (for clarity, as set out on the original unamended FIT Contract Cover Page as of the Contract Date).

For clarity, when certifying the IE Certificate, the Independent Engineer delivering such IE Certificate must not be currently acting (or employed by, or working on behalf of a firm that is currently acting), in respect of the Facility or any other Pre-COD Facilities owned by the Supplier or an Affiliate thereof, in any professional role or capacity other than as an Independent Engineer.
Upon Seller giving the notice to proceed with the construction of the Facility and again within thirty (30) days after the Commercial Operation Date, or the delivery of the Additional Construction IE Certificate, as applicable, Seller shall provide Buyer with updated versions of Exhibit A to reflect the as-built Facility, including the Actual Facility Size.

As brought out earlier, the NSIGTPL has stated that since it is a partial commissioning of the project facility, there will not be any Independent Engineer (IE) Certificate.
In this regard, the NSIGTPL vide its letter dated 2 March 2015 has stated that, this being a partial commissioning of the project facility, there will not be any Independent Engineer (IE) Certificate.
In the present case, the procurers for whose benefit the said provisions in the PPA under Article 6 have been made, clearly have categorically and unequivocally waived their right to obtain the IE Certificate in accordance with Article 6.3.1 and to compel COD to be achieved in accordance therewith.
However, WRLDC, which was not a party to the PPA and was not affected in any manner by the declaration of the COD had filed the Impugned Petition, being No. 85/MP/2013, before the Central Commission, inter alia, challenging the veracity of the IE Certificate.
Therefore, Central Commission should not have gone beyond the veracity of the IE Certificate and intentional mis-representation by Sasan Power.
