IDT Customers definition

IDT Customers collectively refers to IDT's dial-up customers that possess an active account or are registered customers which are otherwise entitled to receive one or more of the Internet services provided by IDT. The definitive number of IDT Customers determined pursuant to the ISP Due Diligence Investigation is 57,221, consisting of 45,782 paying customers and 11,439 bundled customers. None of these customers have been acquired through IDT's resellers.

IDT Customers collectively means all of IDT's dial-up customers (which as of the Effective Date, represent at least a client base of 45,782 paying and 11,439 bundled IDT dial-up customers) to be transferred to TI USA ISP as 2 described herein and that possess active accounts or are registered customers with IDT or which are otherwise entitled to receive one or more of the IDT Internet Provisioning Services provided by IDT, but that are not customers acquired through IDT's reseller channels.

Examples of IDT Customers in a sentence

  • For example, if there are [ ]* IDT Customers on PSI's Network, the applicable base charge of [ ]* shall apply to the entire Customer base.

  • IDT shall assign, transfer and convey to TI USA ISP the IDT Customer accounts, registrations, agreements, lists and other information and the right to service such IDT Customers, in accordance with the terms and conditions set forth in Section 7 hereto.

  • In the event that PSI chooses not to purchase the IDT Customers and IDT chooses not to remit to PSI the amount stated above in subparagraph (a), PSI shall continue to service the Customers [ ]* specified in paragraph 4.1 hereof for a period of sixty (60) days following such failure by IDT to provide the minimum monthly revenue payment, in order to assure a smooth transition for said customers.
