IDS Shares means the ordinary shares of 1 ▇▇▇▇▇ each in the capital of IDS from time to time;
IDS Shares means the Common Shares of IDS being offered as consideration under this Offer;

  • US holders of IDS Shares may not be able to ▇▇▇ a non-US company or its officers or directors in a non-US court for violations of US federal securities laws.

  • All of the IDS Shares are duly authorized and validly issued, fully paid and non-assessable.

  • The receipt of cash consideration by a US holder for the transfer of its IDS Shares pursuant to the Scheme may be a taxable transaction for United States federal income tax purposes.

  • PerkinElmer UK shall pay any stamp duty or stamp duty reserve tax that is payable on the transfer of IDS Shares pursuant to the Acquisition.

  • Accordingly, PerkinElmer has decided to make this cash offer at a price which fully reflects IDS’ intrinsic value and PerkinElmer believes the Acquisition provides a compelling opportunity for IDS Shareholders to realise the full value of their investment in cash at a substantial upfront premium to the prevailing share price of the IDS Shares.
