The Parties shall complete the build-out and fulfill other requirements to the satisfaction of IDFPR ("Dispensary Establishment") in order to obtain a final grant of license by May 15, 2016 or another deadline prescribed by the IDFPR.
Seller shall have provided to Buyer evidence, reasonably satisfactory to Buyer, of receipt of all consents, approvals and waivers of any Governmental Authorities or other Persons required to consummate the transactions contemplated by this Agreement and for Buyer to operate the Enterprise immediately following the Closing, including the IDFPR Approval.
