Identified Target definition

Identified Target means an Initial Target that is characterized by TScan pursuant to [***] of the initial Research Work Plan (or equivalent step in any updated Research Work Plan), as reasonably determined by Amgen based on criteria to be included in the Research Work Plan. For the avoidance of doubt, Amgen Independently Identified Antigens shall not be deemed Identified Targets.
Identified Target means all (or substantially all) of the shares in, or all (or substantially all) of the assets of, Leuna Polymer GmbH.
Identified Target means a Target which has been the subject of research carried out under the Research Program. The initial Identified Targets are set forth in Schedule "A" and "B", as it may be modified from time to time.

Examples of Identified Target in a sentence

  • Upon replacement of an Identified Target with an Available Target pursuant to the foregoing sentence, such Identified Target shall cease to be a Target, the selected Available Target shall be deemed a Target for the purposes of this Agreement, and Exhibit B shall be deemed to be updated accordingly.

  • Following completion of such assessment the parties may by mutual agreement decide to replace any Identified Target with the applicable Available Target, provided that Loxo shall have a one-time right to override Array’s refusal to replace one Identified Target with an Available Target upon written notice to Array.

  • The Identified Target Notice shall include the Entrez Gene ID, HUGO or official symbol and common synonyms (if available) of each Identified Target.

  • If, in connection with a GSK Independent Program other than a GSK Unilateral Program, GSK accesses the 23andMe Databases or the 23andMe Data Mining Technologies for Validation Activities in connection with a Target other than an Identified Target or Collaboration Target, the JRC will, if applicable, complete the form attached hereto as Schedule 4.5-A with respect to any identified potential for Material Benefit and provide such completed form to the JSC for review and approval.

  • The Parties hereby acknowledge and agree that the Identified Target below is the Unilateral Target of the Party listed below and may be pursued by such Party as a Unilateral Program in accordance with the terms and conditions of the Collaboration Agreement by and between GlaxoSmithKline Intellectual Property (No.3) Limited (“GSK”) and 23andMe, Inc.

  • Upon replacement of an Identified Target with an Available Target pursuant to the foregoing sentence, such Identified Target shall cease to be a Target, the selected Available Target shall deemed a Target for purposes of this Agreement, and Exhibit B shall be deemed to be updated accordingly.

  • CSHL agrees that during the Contract Period neither ** , and no person working at CSHL under their direction, shall conduct research sponsored by any commercial organization not a party to this Agreement, if the research relates to the Field, the Initial Identified Target or any Additional Target, unless agreed to by Helicon.

  • HMRI shall pay OSI a royalty rate of ** of the Net Sales of each HMRI Product, the manufacture, use, or sale of which is covered by a Valid Claim of an HMRI Patent, OSI Patent or patent involving Joint Improvements; provided, that HMRI shall pay OSI a royalty pursuant to this Section 5.7.2 for an HMRI Product that employs OSI Patents only to the extent the OSI Patent arises out of research directed to an HMRI Identified Target.

  • In addition, the Parties agree that the rights granted by Company to Qiagen under the Qiagen Agreement constitute the Sale of a Diagnostic Product which is directed to an Identified Target that was identified prior to the Second Cut-Off Date and Qiagen is not a Collaborator.

Identified Target means (a) a [***] identified as a result of activities conducted in the [***], or (b) a [***] for which [***], in each case ((a) or (b)) that is determined by the JRC to meet the criteria set forth on Schedule 1.136.

  • Sanctioned Target means any target of Sanctions, including (i) persons on any list of targets identified or designated pursuant to any Sanctions, (ii) persons, countries, or territories that are the target of any territorial or country-based Sanctions program, (iii) persons that are a target of Sanctions due to their ownership or control by any Sanctioned Target(s), or (iv) persons otherwise a target of Sanctions, including vessels and aircraft, that are designated under any Sanctions program.

  • Soft Target means a target that will suffer minimum damage and cause minimum damage to the subject vehicle in the event of a collision.
