The Confidential Information is the sole property of Seller and/or Broker, and is being provided to “Buyer” for its own use and not as agent, representative or broker of any undisclosed party, solely to aid “Buyer” in its analysis to determine if the Identified Party should purchase the Assets; and other direct or indirect use, or any redistribution of the Confidential Information is strictly prohibited.
Any such indemnity obligations (to the extent indemnity is secured by the Authority) shall not be contingent upon or otherwise necessitate any settlement, judgment or award having to first be paid by or on behalf of a Company Identified Party, whether by an insurer or otherwise.
The Representative shall provide the Company with a list of the Identified Party and proof of such communication in connection with this offering.
Notwithstanding the foregoing, termination of such Claims and of the parties’ obligations hereunder shall not terminate or affect obligations in respect of claims for indemnity or otherwise for which written notice shall have been given by the Identified Party prior to expiration date.
If the Identified Party or Identified Parties to be Acquired do not consent to the participation of the Other Party in accordance with this Section within sixty (60) days after delivery of such written notice of intent to exercise the Participation Right or the nature of the Acquisition otherwise prevents the Other Party from participating therein, then the Other Party may terminate this Agreement.
