Anything herein to the contrary notwithstanding, the Company shall remain liable under the Idemitsu Account to observe and perform all the conditions and obligations to be observed and performed by it thereunder, all in accordance with the terms of the Idemitsu Product Offtake Agreement.
In particular, Universal Display makes no representation or warranty that Panasonic Idemitsu will be able to manufacture, sell or use any Licensed Products without obtaining additional license rights from third parties.
