ID Shares definition

ID Shares means the 253,125 fully paid and non-assessable common shares of ID, to be issued to the Exchanging Members by ID on the Closing Date;
ID Shares means those Shares as described in further detail under the heading “Description of Share Classesin the Prospectus;

Examples of ID Shares in a sentence

  • If it appears at any time that a holder of IZ, IA, IB, IC, ID Shares is not an institutional investor, the Directors will instruct the Management Company to propose that the said holder convert their Shares into a Share Class within the relevant Fund which is not restricted to institutional investors (provided that there exists such a Share Class with similar characteristics in terms of underlying investment, but not necessarily in terms of the fees and expenses payable by such Share Class).

  • The Directors may, at their discretion, delay the acceptance of any subscription for IZ, IA, IB, IC, ID Shares restricted to institutional investors until such date as the Management Company has received sufficient evidence on the qualification of the relevant Investor as an institutional investor.

  • The Management Company will be paid a maximum annual management fee of - 1.75% for Class A Shares- 1.75% for Class AD Shares- 1.20% for Class AE Shares and Class AEH Shares- 1.35% for Class B Shares- 0.60% for Class I Shares, Class ID Shares, Class IE Shares and Class IK Shares- 0.02% for Class ME Shares- 0.60% for Class RKP Shares- 0.34% for Class V Shares of the average total net assets of the Shares.

  • There is no Sales Charge in respect of “ID” Shares.For ID Shares that are Distribution Shares, the Fund intends to distribute all or part of the net investment income attributable to “ID” Shares more frequently than annually.

  • In such circumstances, the distribution Shares will be referenced by adding a "D" to the name of the class of Shares (reading for example: Class AD Shares or Class ID Shares).

  • At the date of the financial statements, Classes RC, IC, IC-H, XC, HNW ("C" Shares) and ID Shares are issued.

  • IZ, IA, IB, IC, ID Shares‌IZ, IA, IB, IC, ID Shares will only be available, with prior agreement of the Management Company, to institutional investors such as pension funds, sovereign wealth funds, foundations, charities and official institutions.The Company will not issue, or effect any switching of, IZ, IA, IB, IC, ID Shares to any Investor who may not be considered an institutional investor, as may be defined from time to time by the guidelines or recommendations issued by the CSSF.

  • IZ, IA, IB, IC, ID Shares fees for each Fund are separately disclosed in the Fund details.Z SharesWith the prior agreement of the Management Company Z shares may be offered in certain limited circumstances (i) for distribution in certain countries and through certain Distributors who have separate fee arrangements with their clients and/or (ii) to professional investors.Z Shares fees for each Fund are separately disclosed in the Fund details.

  • The Management Company will be paid a maximum annual management fee of - 1.75% for Class A Shares- 1.75% for Class AD Shares- 1.20% for Class AE Shares and Class AEH Shares- 1.35% for Class B Shares- 0.60% for Class I Shares, class ID Shares, Class IE Shares and Class IK Shares- 0.02% for Class ME Shares- 0.60% for Class RKP Shares- 0.34% for Class V Shares of the average total net assets of the Shares.

  • TERMS OF THE SHARES REPRESENTING INTERESTS IN THE FUND Share Classes The following Classes of Shares have been or will be issued in respect of the Fund: the Class A Shares in Euros, US dollars, GBP and JPY, the Class I Shares in Euros, US dollars, GBP and JPY, the Class AD Shares in Euros and GBP and the Class ID Shares in Euros and GBP.

  • VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Common Shares means the common shares in the capital of the Corporation;

  • Company Shares means the common shares in the capital of the Company;

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Series B Preferred Shares means the Series B Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • Exchanged Shares has the meaning ascribed thereto in Section 2.1.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Stock Election Shares shall have the meaning set forth in Section 3.2.1.

  • Sold Shares shall have the meaning specified in Section 6.

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Newco Shares means the common shares in the capital of Newco;

  • Company Preferred Shares means, collectively, the Company Series A-1 Preferred Shares, the Company Series A-2 Preferred Shares, the Company Series B Preferred Shares, and the Company Undesignated Preferred Shares.

  • Series D Preferred Shares means the Company’s series D preferred shares, par value US$0.00001 per share.

  • Converted Shares means the Subject Equity Shares resulting from the conversion of Restricted Voting Shares into the Subject Equity Shares pursuant to subparagraph (ii);

  • Equity Shares means the Common Shares and any shares of any other class or series of the Corporation which may from time to time be authorized for issue if by their terms such shares confer on the holders thereof the right to participate in the distribution of assets upon the voluntary or involuntary liquidation, dissolution or winding up of the Corporation beyond a fixed sum or a fixed sum plus accrued dividends;

  • Series F Preferred Shares means the Series F Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Co-op Shares Shares issued by private non-profit housing corporations.
