ICT Contracts definition

ICT Contracts means all contracts and arrangements relating to the licensing of the ICT Systems and the provision of computer maintenance and support, web site hosting, data back-up, disaster recovery, facilities management and bureau and on-line services to the business carried on by the Company which are in effect Completion;
ICT Contracts means all contracts and arrangements relating to the licensing of the ICT Systems and the provision of computer maintenance and support, web site hosting, data back-up, disaster recovery, facilities management and bureau and on-line services to the Group which are in effect on Completion including the contracts and arrangements listed in Part 4 of Schedule 4;
ICT Contracts the contracts and arrangements relating exclusively to the licensing of the ICT Systems and the provision of computer maintenance and support, web site hosting, disaster recovery, facilities management and bureau and on-line services to the Group;

Examples of ICT Contracts in a sentence

  • The LEP and the Local Authority shall use reasonable endeavours to agree the nature and scope of projects within the Strategy for Change which are representative of the type of projects to be carried out by the LEP pursuant to each of the PFI Project Agreements, D&B Contracts, FM Contracts and ICT Contracts (with each such project being a Representative New Project)24.

  • Except to the extent that the Company Intellectual Property Rights are subject to an IP Licence from a Group Entity to a third party, or a Group Entity is the licensee of rights under the IP Licences or the ICT Contracts, a Group Entity is the sole and beneficial owner of the Company Intellectual Property Rights free from all Encumbrances so far as the Warrantors are aware.

  • None of the ICT Contracts are liable to be terminated or otherwise materially affected by a change of control of the Group and the Warrantors are not aware of any reason why any ICT Contract will not be renewed on the same or substantially similar terms when it expires.

  • Except to the extent that the Company Intellectual Property is the subject of a valid and enforceable IP Licence from a Group Company to a third party, or the Group Company is the licensee of rights under the IP Licences or the ICT Contracts, a Group Company is the sole and beneficial owner of the Company Intellectual Property free from all Encumbrances and adverse rights of any description.

  • None of the ICT Contracts is subject to any complaints, claims, disputes or proceedings.

Related to ICT Contracts

  • IT Contracts means any agreements, licences or other contractual arrangements with third parties relating to the IT Systems or IT Services, including licences of all software, leases of hardware and other procurement of IT Systems or IT Services;

  • Project Contracts mean a contract or contracts with respect to the acquisition and/or construction of the Improvements entered into by the Company or the Issuer.

  • Customer Contracts has the meaning set forth in Section 1.1(b)(ii)(A).

  • Existing Contracts means the existing licenses and contracts given by the Railway Administration / Authority, in relation to commercial establishments, as existing on Station Development Land, as on the date of the Agreement, and as further set out in the Schedules, which shall, for avoidance of doubt, exclude any licenses and/ or contracts in relation to any Excluded Activities and/or Railway Operational Activities;

  • Government Contracts has the meaning set forth in Section 3.09(a)(viii).
