ICF Coverage Ratio means, after giving pro forma effect to any applicable transaction, the ratio, determined as of the date of consummation of such transaction, of (x) the annualized cash flow from interest payments on notes issued by Intelsat Luxembourg or Intelsat Jackson then held by the Issuer to
ICF Coverage Ratio means, after giving pro forma effect to any applicable transaction, the ratio, determined as of the date of consummation of such transaction, of (x) the annualized cash flow from interest payments on notes issued by Intelsat Luxembourg or Intelsat ▇▇▇▇▇▇▇ then held by the Issuer to (y) the annualized cash interest expense in respect of all then outstanding Indebtedness of the Issuer (excluding, for the avoidance of doubt, (i) any Indebtedness of the Issuer pursuant to clause (2) of the definition thereof relating to Indebtedness of Intelsat ▇▇▇▇▇▇▇ or any other Restricted Subsidiary and (ii) any intercompany Indebtedness pursuant to Section 4.03(b)(vii)(1) owing to Intelsat ▇▇▇▇▇▇▇ or its Restricted Subsidiaries). For purposes of this definition, whenever pro forma effect is given to any transaction, the pro forma calculations shall be made in good faith by a responsible financial or accounting officer of the Issuer.
