IAOC means the IETF Administrative Oversight Committee, as constituted in accordance with IETF document BCP 101, RFC 4071 (April 2005), and any duly approved successor documents, updates or amendments thereto, including the RFC issued to update BCP 101 to reflect the establishment of this Trust.

  • In the event that IAOC permits AMS to use the services of one or more Subcontractors, each such Subcontractor shall sign a written agreement in which such Subcontractor agrees to comply with each of the relevant provisions and restrictions of this Agreement to the same extent as AMS and employees of AMS.

  • AMS shall indemnify, defend and hold the ISOC and IAOC harmless from and against all such taxes, contributions and benefits and will comply with all associated governmental regulations, including the filing of all necessary reports and returns with respect to its personnel.

  • AMS further agrees to make such records available to IAOC or its authorized representative upon reasonable advance written notice during normal business hours during the term of this Agreement and for a period of three (3) years after final payment has been made by IAOC.

  • The IESG, IAB, IRSG, RSOC, and IAOC each may take one or two retreats annually.

  • Notwithstanding the foregoing, if such circumstance or cause results in delay in performance of more than thirty (30) days, IAOC shall have the right to cancel all outstanding Work without penalty upon written notice; provided, however, that all amounts owed to AMS under this Agreement and any exhibit hereto are paid in full by the ISOC.

  • If such correction is not made to bring the Work into compliance with the specifications set forth in Exhibit A within forty-five (45) days after notification of any deficiency by IASA to AMS, IAOC shall have the right to terminate this Agreement upon written notice to AMS.

  • If a proposed amendment is never finalized between the Parties, the proposed Additional Work will not become a part of the Work and neither ISOC nor the IAOC shall have any obligation to AMS arising from AMS performance of the Additional Work.
