HUTS means Hamilton Enhanced Utilities ETF;

  • All notices and other communications required or permitted hereunder shall be in writing and shall be mailed by registered or certified mail, postage prepaid, sent by facsimile or otherwise delivered by hand, messenger or courier service addressed: if to Parent, HUTS or other subsidiaries of Parent, to: UTStarcom Holdings Corp.

  • UTSTARCOM shall or shall cause HUTS to take no action with respect to any infringement, imitation or illegal use of any INTELLECTUAL PROPERTY RIGHTS unless requested by SHARP to do so.

  • In exercising its discretion pursuant to this paragraph, SHARP shall give due consideration to the contribution of each party (including HUTS and EASTCOM, as the case may be), the particular circumstances of the Obligation and the profit and other benefits received by each party (including HUTS and EASTCOM, as the case may be) hereto in respect of the subject matter of this Agreement.

  • UTSTARCOM agrees that it shall have [*] right (i) to manufacture or (distribute the PRODUCTS and ii) to sublicense to any third party the right granted hereby except with the prior written consent of SHARP, and it shall cause HUTS and EASTCOM to abide by the terms and conditions as set forth hereunder.

  • HUTS, UTSC and UTSI shall take all actions and execute all documents necessary or desirable to record and perfect the interest of respective assignee in and to Assigned IP A, Assigned IP B and Assigned IP C.

  • UTSTARCOM shall, and shall cause HUTS and EASTCOM to, keep strictly confidential all the KNOW-HOW and all other information furnished or made available by SHARP, whether in written, oral or any other form or forms, under this Agreement (or any previous agreement, if any, similar thereto), both during the term hereof and thereafter.

  • Before the execution of the Agreement, HUTS and UTSC are the exclusively foreign-funded enterprises wholly owned by UT Holdings in China.
