4 B SHAREHOLDERS REPRESENTATIVE - APPOINTMENT & REMOVAL
4.1 B Shareholders to elect an individual as the B Shareholders Representative, with authority to sign any consent, approval, notice etc which - in terms of the SHA - requires the holders of a majority of the B Shares.
4.2 Election process - invitation to submit candidates, followed by email voting; candidate with largest number of votes becomes the B Shareholders Representative.
4.3 B Shareholders Representative can resign his/her appointment at any time.
4.4 B Shareholders can remove the B Shareholders Representative from office at any time, if 75% or more of the B Shareholders vote in favour of removal.
