  • To the knowledge of HTVL, no litigation, claim, or other proceeding before any court or governmental agency is pending or threatened against HTVL.

  • HTVL’s Annual Report on Form 10-KSB, filed on April 24, 2003 with the Securities and Exchange Commission contains the audited financial statements of HTVL as of December 31, 2002 (the “Financial Statements”).

  • Except for Summit Financial Partners, LLC, no broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf of HTVL.

  • This Agreement has been duly executed and delivered by HTVL and constitutes the legal, valid and binding obligation of HTVL, enforceable against HTVL in accordance with its terms, except as may be limited by bankruptcy, insolvency, reorganization, moratorium, or other similar laws affecting the enforcement of creditors’ rights generally and general principles of equity.
