HSR Triggering Event definition
HSR Triggering Event means, with respect to a holder of Series D-1 Preferred (i) the expiration of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”) such that such holder could acquire shares of Series D Preferred issuable upon conversion of such holder’s shares of Series D-1 Preferred pursuant to Section 4(j) in compliance with the HSR Act or (ii) any other event, the occurrence of which results in such holder’s ability to acquire the shares of Series D Preferred issuable upon conversion of the Series D-1 Preferred pursuant to Section 4(j) in compliance with the HSR Act (including, if applicable, a transfer of shares of Series D-1 Preferred to a person that would not be required to make a filing under the HSR Act to acquire an equal number of shares of Series D Preferred or the waiting period under the HSR Act applicable to such person acquiring such shares of Series D-1 Preferred has expired).
