HSR Expenses definition

HSR Expenses is defined in Section 9.3(a)(i). “Indebtedness” means (a) any of the following types of obligations (whether or not then due and payable) of, or guaranteed by, the Company: (i) all outstanding indebtedness for borrowed money or with respect to deposits or advances of any kind; (ii) accrued interest payable with respect to Indebtedness referred to in clause (i); (iii) all obligations evidenced by notes, bonds, debentures or other similar instruments (whether or not convertible); (iv) all obligations upon which interest charges are customarily paid (excluding current accounts payable in the ordinary course of business consistent with past practices); (v) all obligations under indentures or arising out of any financial hedging arrangements, (vi) for the deferred purchase price of property or services; (vii) all Capitalized Lease obligations; (viii) all other indebtedness of the types described herein of Persons secured by (or for which the holder of such indebtedness has an existing right, contingent or otherwise, to be secured by) any Lien on property owned or acquired by the Company, whether or not such indebtedness secured thereby has been assumed; and (ix) all obligations in respect of letters of credit (to the extent drawn). “Intellectual Property Rights” means all industrial and intellectual property rights, under the Law of any jurisdiction, both statutory and common law rights, including, without limitation, (a) patents, patent applications, patent disclosures and extensions, divisions, continuations, continuations-in-part, reexaminations and reissues thereof, (b) Internet domain names, trademarks, Social Media, trade names, service marks, trade dress, trade names, logos, corporate names and other identifiers of source and registration and applications for registration of any item listed in clause (b), together with all of the goodwill associated therewith, (c) copyrights (registered or unregistered), works of authorship and copyrightable works, and registrations and applications for registration of any item in this clause (c), (d) computer software (whether in source code, object code or other form), data, databases and any documentation related to any item listed in this clause, (e) trade secrets and other confidential information (including confidential and proprietary know how, ideas, formulas, compositions, recipes, inventions (whether patentable or unpatentable and whether or not reduced to practice), manufacturing and production processes, proc...
HSR Expenses means any reasonable, documented, out-of-pocket costs, disbursements, fees or payments made by Seller after the Effective Date in complying with Section 7.5(b).
HSR Expenses means (i) Seller’s documented filing fee in connection with Seller’s filing under the HSR Act, and (ii) any reasonable third party costs, fees or expenses first incurred by Seller in connection with its activities under Section 8(c)(i) from and after the date of this Agreement up to an aggregate amount equal to $1,000,000. Seller agrees to provide Buyer with all reasonable supporting documentation for such HSR Expenses.

Examples of HSR Expenses in a sentence

  • If this Agreement is terminated for any reason other than by Buyer pursuant to Section 10.1(c), then, within 30 days of receipt of Seller’s invoice therefor after such termination, Buyer shall reimburse Seller for the HSR Expenses.

  • The Company shall send the Parent invoices for the Company HSR Expenses not directly assumed or paid by the Parent on a monthly basis, and the Parent shall reimburse the Company for the amount reflected in such invoices as soon as practicable following receipt of each such invoice.

  • Buyer shall be responsible for and shall pay all of its fees, expenses and costs in complying with this Section 8(c)(i) and reimburse Seller for the HSR Expenses as provided in Section 2(c) or Section 10(b).

  • At the time of retirement or termination, counsel shall be paid for any unused vacation.
