HSR Event definition
HSR Event means, in connection with the Contemplated Transactions, the earlier to occur of (i) the expiration of the waiting period prescribed by the HSR Act or (ii) the receipt from the FTC of an early termination order.
Examples of HSR Event in a sentence
Purchaser hereby covenants and agrees that it shall not, prior to the Closing, knowingly take any action that is reasonably likely to result in an HSR Event.
The filing requirements of the HSR Act relating to the Contemplated Transactions shall have been complied with, neither the FTC nor the Antitrust Division shall have taken any action (including notifying the parties of any objection to the Contemplated Transactions) in response to such filings, and an HSR Event shall have occurred.
