The Gas Daily HSC Index is defined as the daily midpoint price published each Day of Gas flow in ▇▇▇▇▇’▇ Gas Daily under the heading Daily Price Survey, subheading East-Houston-Katy, Houston Ship Channel Index.
However, notwithstanding the forgoing, in the event the quality of Gas delivered by Seller to Buyer hereunder during any three (3) consecutive calendar Month period averages less than ▇▇▇ ▇▇▇▇▇ per Day, then effective on the first Day of the following calendar Month the price for all gas purchased hereunder shall be 89 percent of the IF HSC Index.
For each MMBtu of Customer’s Gas delivered to the Points of Delivery with a GPM content equal to or greater than [*****] (the GPM for this purpose will be calculated Daily based upon the weighted average GPM at the Points of Delivery, provided that the GPM at any Points of Delivery shall not be less than [*****]), Customer will pay Eagle Ford a Service Fee equal to the sum of $[*****] plus [*****]% of the HSC Index (“Service Fee”).
The price shall remain at 89 percent of the IF HSC Index until such time as Seller delivers to Buyer hereunder a quantity of Gas equal to or in excess of an average of ▇▇▇ ▇▇▇▇▇ per Day during any three (3) consecutive calendar Month period, at which time the price shall be 91 percent of the IF HSC Index effective on the first Day of the following calendar Month.
The IF HSC Index is defined as the price published by Platts, a Division of the ▇▇▇▇▇▇-▇▇▇▇ Companies, in the first issue of Inside F.E.R.C.’s Gas Market Report during the Month of production under the heading Market Center Spot-Gas Prices, subheading East Texas, Houston Ship Channel Index.
If Gas is owed to Shipper, Transporter shall pay a per MMBtu fee equal to the lower of (i) the HSC Index price for the Month following termination or expiration of a Confirmation or (ii) the HSC Index price for the Month(s) in which the Confirmation terminated or expired.
