HSBC GUARANTEE AND COLLATERAL AGREEMENT the Supplemental Guarantee and Collateral Agreement, dated as of January __, 2001, made by the Loan Parties in favor of HSBC International Trade Finance Limited, as the same may be amended, supplemented or otherwise modified from time to time. For purposes of this Agreement, the HSBC Guarantee and Collateral Agreement shall not be included in the definition of Security Documents.
