The parties may mutually amend any provision of this Agreement at any time prior to the Effective Time with the prior authorization of their respective boards of directors; provided, however, that any amendment effected subsequent to HRKP stockholder approval will be subject to the restrictions contained in the Virginia Stock Corporation Act.
From the date of this Agreement through the Closing Date, HRKP will not engage in any practice, take any action, or enter into any transaction outside the Ordinary Course of Business.

There is no suit, action, proceeding at law or in equity, arbitration, administrative proceeding or other proceeding or investigation by any governmental entity pending, or threatened against, or affecting HRKP or any of the Practice Assets, or any physician or other health care professional engaged or employed by HRKP, and there is no basis for any of the foregoing.
HRKP has the full corporate power and authority to carry on the business in which it is engaged and to own and use the properties owned and used by it.
If required by the Virginia Stock Corporation Act, prior to the Effective Time, the HRKP Stockholders shall have caused the conversion of HRKP to a Virginia business corporation.
