HP Materials definition

HP Materials means the Service Software, Specifications, Documentation and HP Systems and any and all other information, data, documents, materials, works and other content, devices, methods, processes, hardware, software and other technologies and inventions, including any deliverables, technical or functional descriptions, requirements, plans or reports, that are provided or used by HP or any Subcontractor (as defined in Section 2.5 below) in connection with the Services or otherwise comprise or relate to the Services or HP Systems. For the avoidance of doubt, HP Materials include Resultant Data and any information, data or other content derived from HP's monitoring of Customer's access to or use of the Services, but do not include Customer Data.
HP Materials means, individually and/or collectively, all parts, materials or components supplied by HP for purposes of the Program. Such HP Materials may be manufactured by HP or an OEM of HP.
HP Materials shall have the meaning set forth in Section 19.2.

Examples of HP Materials in a sentence

  • Nothing in this Agreement grants any right, title or interest in or to (including any license under) any Intellectual Property Rights in or relating to, the Services, HP Materials or Third Party Materials, whether expressly, by implication, estoppel or otherwise.

  • All right, title and interest in and to the Services, the HP Materials and the Third Party Materials are and will remain with HP and the respective rights holders in the Third Party Materials.

  • Customer has no right, license or authorization with respect to any of the Services or HP Materials (including Third-Party Materials) except as expressly set forth in Section 3.1 or the applicable third-party license, in each case subject to Section 3.3. All other rights in and to the Services and HP Materials (including Third-Party Materials) are expressly reserved by HP and the respective third-party licensors.

  • Customer shall not, and shall not permit any other Person to, access or use the Services or HP Materials except as expressly permitted by this Agreement and, in the case of Third-Party Materials, the applicable third-party license agreement.

  • All right, title and interest in and to the Services and HP Materials, including all Intellectual Property Rights therein, are and will remain with HP and, as applicable, its licensors and the respective rights holders in the Third-Party Materials.

  • HP reserves the right, in its sole discretion, to make any changes to the Services and HP Materials that it deems necessary or useful to: (a) maintain or enhance (i) the quality or delivery of HP's services to its customers, (ii) the competitive strength of or market for HP's services or (iii) the Services' cost efficiency or performance; or (b) to comply with applicable Law.

  • This agreement covers the repair, test, refurbishment, disassembly, and packaging processes for HP Materials to the specifications supplied to DPI by HP.

Related to HP Materials

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Supplier Materials has the meaning given in clause 8.1(h).

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.
