The Confidentiality Agreement, dated December 10, 2002 (the "Confidentiality Agreement"), between Buyer, Hoyts Cinemas Limited and Hoyts Cinemas America Limited remains in full force and effect and, upon the terms and subject to the conditions therein, applies to information furnished in connection with this Agreement or the Contemplated Transactions.
