Payments of principal and interest, and all amounts due with respect to costs and expenses, shall be made in lawful money of the United States of America in immediately available funds, without deduction, set-off or counterclaim to Bank, or such other location as may be notified to Borrower by Bank, not later than 12:00 noon (Houston Time) on the dates on which such payments shall become due pursuant to the terms and provisions set forth in the International Loan Agreement.
Unless otherwise provided in this Agreement, or in any agreement to be executed in connection with this Agreement, the effective time and date of each action in connection with the Separation shall be as of 11:59 p.m., Houston Time, December 31, 2000 or such other date as may be fixed by REI (the "Separation Date").
With respect to notices required under Exhibit “C” (other than notices required to be delivered by Enterprise to effect any change to such Exhibit), the Parties may deliver such notices by e-mail, and any such e-mail notice shall be sent to the address of the other Party specified below and shall be effective, if sent on a Business Day before 1700 hours Houston Time, as of that day; and, in any other case, as of the Business Day after it was sent.
The Swingline Bank shall make each Swingline Loan available to the Borrower by means of a credit to the general deposit account of the Borrower with the Swingline Bank (or, in the case of a Swingline Loan made to finance the reimbursement of an LC Disbursement as provided in Section 2.7(d), by remittance to the applicable Issuing Bank) by 2:00 p.m., Houston Time, on the requested date of such Swingline Loan.
Subject to termination of this Agreement as provided in Article IX above, the closing of the transactions provided for herein (the "Closing") will take place at the offices of ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ & ▇▇▇▇▇▇ P.C., ▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇▇, Suite 2400, Houston, Texas 77002 at 10:00 a.m., Houston Time on February 27, 1998, or, if all conditions to Closing have not been satisfied or waived by such date, such other place, time and date as ▇▇▇▇▇▇▇ and HCCH may mutually select (the "Closing Date").
The closing of the transactions contemplated hereby (the "Closing") shall occur at 10:00 a.m., Houston Time, on ________ ___, 2000 (the "Closing Date"), at the offices of Buyer at ▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇▇▇, or at such other time and/or place as shall be mutually agreed to in writing by the parties hereto.

Such request for a continuation or conversion of a Borrowing shall be made by delivering a Continuation/Conversion Notice to the Administrative Agent on or before 10:00 a.m., Houston Time, on a Business Day, such Continuation/Conversion Notice to be delivered at least three (3) Business Days in advance for any Borrowing continued as or converted into a LIBOR Loan.
This Agreement shall become effective at 10:00 A.M., Houston Time, on the date hereof.
