Hotel Phase definition

Hotel Phase shall consist of the development of a hotel with one or more buildings containing a minimum of 275 guest rooms and up to an aggregate of 330 guest rooms and adjacent or subterranean parking on the two parcels of land described as the Hotel Phase land on Attachment No. 1, which Hotel Phase may be acquired and developed in up to three stages as described in Section 5.2 below; the “Timeshare Phase” shall consist of the development of a project with a minimum of 170 and a maximum of 225 or as permitted by Entitlements “timeshare” or “interval” units, fractional units, residential units (which may or may not be subject to a formal condominium regime) or lots, other legal forms of ownership permitted by applicable law, or any combination thereof permitted by the Entitlements and Project Conditions on the three parcels of land described as the Timeshare Phase land on Attachment No. 1, the “Residential Phases” shall collectively consist of the development of 125 single family residential lots (30 of which residential lots have been acquired by the predecessor to Developer and are not being acquired by Developer in this Agreement) on the nine parcels of land described as the Residential Phase land on Attachment No. 1, and the “Golf/Resort Clubhouse Phase” shall consist of the demolition of the existing golf clubhouse on the Golf Course property and the development of a new Golf/Resort Clubhouse, all as more particularly described in the Scope of Development attached hereto as Attachment No.

  • Such set-off shall be made equitably in proportion to the amount by which each phase benefited from the payment, and shall be deducted before and not be subject to trebling or punitive damages in any judgment against ▇▇▇▇▇▇▇ ▇▇▇▇▇ related to Hotel Phase I, Hotel Phase II, Penthouse Phase III, Golf and Mountain Phase IV, Lodge and Townhouses Phase V, and Stateside Phase VI.

  • Should it be conveyed to the City, Developer shall have a right of first negotiation for a period of ninety (90) days to acquire this property from the City, and if not acquired by Developer, City shall record reasonable restrictive covenants on such property to prevent its development with uses that are clearly incompatible with the uses for the Hotel Phase, Timeshare Phase, and Residential Phase.

  • Regarding the Existing CZ agreements, two of them, namely, CZ Hotel (Phase I) Management Agreement and CZ Hotel Marketing Agreement, were entered into between Changzhou ▇▇▇▇▇ ▇▇▇▇ Hotel Company Limited and MPHML, and one of them, namely, CZ Technical Services Agreement, was entered into between Wharf Estates (Changzhou) Company Limited and MPHML.

  • The Construction Contract(s) shall obligate the Contractor(s) to construct the Improvements on each portion of the Hotel Phase and Timeshare Phase for a fixed price or guaranteed maximum cost.

  • The rights of City to repurchase pursuant to this Section 9.4 shall be set forth in the deed for the Hotel Phase and in a separate Memorandum of Repurchase Rights in the form attached hereto as Attachment 6C with respect to the Residential and Timeshare Phases.

  • The City and Redeveloper previously entered into the City of Lincoln Redevelopment Agreement (North Haymarket Hotel Phase II) (“Agreement”) on March 24, 2011.

Related to Hotel Phase

  • Construction Phase means that Phase of the Project which shall commence after the Authority provides the Trade Contractor with written Notice to Proceed with the Construction Phase.

  • Construction Phase Services means the coordination, implementation and execution of the Work required by this Agreement, which are further defined in Article 8.

  • Design Phase means the period during which the Transporter shall prepare a draft project proposal for publication in accordance with section 4.3;

  • Redevelopment project means a specific construction project

  • Phase 1 means the phase of the ATP comprised of: (1) improvements to the State Street Substation; (2) construction of the Proposed Line; (3) the rebuilding of NYSEG’s existing Lines 971 and ▇▇▇ ▇▇▇▇▇ ▇▇ ▇▇▇▇▇▇▇▇ ▇▇▇▇ ▇▇ the NYSEG ROW to allow for construction of the Proposed Line as intended; (4) improvements to the Elbridge Substation to accept the Proposed Line; and (5) National Grid’s conveyance to NYSEG of the NYSEG Acquired ROW and such other land interests as contemplated by the Purchase and Sale Agreement.
