HOSTILE APPROACH definition
HOSTILE APPROACH means (i) any public unsolicited offer or proposal for, or public announcement of an interest in, or intention to seek to effect, an Acquisition Proposal, (ii) the acquisition by any Person, directly or indirectly, of greater than 15% of the Voting Securities of the Company (whether by tender offer or otherwise) or (iii) the acquisition, directly or indirectly, of assets of the Company and its subsidiaries which, for the last full fiscal year, contributed more than 30% of the consolidated revenues of the Company and its subsidiaries.
HOSTILE APPROACH shall have the meaning set forth in Section 5(b).
