Hostess definition

Hostess means the Hostess Companies and their subsidiaries. “Hostess Board” means the board of directors of Hostess Holdings GP.
Hostess refers to someone who has agreed to hold a party for their friends and associates, and have invited a Paparazzi Consultant to offer product at their home or via an online party. Incentivizing a Hostess to hold a party at their home or online is key to the success of any organization. Therefore, ▇▇▇▇▇▇▇▇▇ has outlined the following as the minimum amount of compensation offered to Hostesses for hosting the party:
Hostess means Debtor Hostess Brands, Inc. (f/k/a Interstate Bakeries Corporation).

  • For the avoidance of doubt, the actual liability for Taxes of the Corporate Taxpayer and its wholly owned Subsidiaries (and Hostess Holdings and its Subsidiaries, as applicable and without duplication) will take into account any deduction of Imputed Interest.

  • During the Tax Protection Period, the Corporate Taxpayer shall, and shall cause Hostess Holdings and its Subsidiaries to, use commercially reasonable efforts to ensure that any indebtedness of Hostess Holdings or any Subsidiary (other than any indebtedness that is held or guaranteed by a CDM Entity Holder) constitutes a Nonrecourse Liability.

  • Except as otherwise provided herein or in the Hostess Agreements, the Corporate Taxpayer shall have full responsibility for, and sole discretion over, all Tax matters concerning the Corporate Taxpayer, Hostess Holdings and their respective Subsidiaries, including the preparation, filing or amending of any Tax Return and defending, contesting or settling any issue pertaining to Taxes.

  • All notices hereunder, to be effective, shall be in writing and shall be deemed effective when delivered by hand or mailed by certified mail, postage and fees prepaid, or nationally recognized overnight express mail service, as follows: If to the Company, Gores Holdings or Hostess Holdings:: c/o Gores Holdings, Inc.

  • Should SOTF, in its sole discretion, determine that Hostess is not in compliance with these Terms and Conditions, it may provide notice to Hostess to cease and desist and require Hostess to refund all fees collected to the participants.
