Hosted License definition

Hosted License which means a License granted for Hosted use. “Hosted” means use of the Software exclusively in such a form and manner as installed outside of the Client’s - and if set out in the Order Form, the Beneficiaries’- site and servers to which the Client is granted only remote access and, if set forth in the Contract, to which the Beneficiaries may have the same. The Software is provided to Client as a dedicated instance. Or,
Hosted License means the rights and licenses granted to Customer in accordance with the terms set forth below.
Hosted License means the rights and licenses granted to Licensee in Section 2.2.

  • With respect to the Subscription Hosted License, upon termination or expiration of the Subscription Term, NetMotion reserves the right to deny you access to the NetMotion Host Services and to withhold, remove and/or discard, delete or destroy any content stored on the host server without notice to you.

  • The indemnification obligations of the Master Agreement will apply to this Hosted License Agreement.

  • Except as expressly provided in this Hosted License Agreement, Customer shall not and shall not allow third parties to use, reproduce, copy, market, sell, distribute, transfer, translate, modify, adapt, disassemble, decompile or reverse engineer the CNP Platform and/or related documentation.

  • Any termination of this Hosted License Agreement under this Section 12 shall be subject to the Transition Option more particularly described in Section 14.

  • At the conclusion of the evaluation period, you shall be permitted to elect to receive either a Subscription License, Subscription Hosted License, or a Permanent License, whereupon, upon payment by you to NetMotion or its authorized Reseller as provided herein, this ▇▇▇▇ shall continue to apply to you in full force and effect with respect to the license you have selected.

  • Except as expressly provided in this Hosted License Agreement, Customer shall not use the CNP Platform and/or related documentation in an application services provider, service bureau, time-sharing or outsourcing capacity for the benefit of third parties.

  • If you have received a Subscription License or a Subscription Hosted License, your subscription to the Software will automatically terminate at the end of the Subscription Term unless you have renewed the subscription before the expiration of the Subscription Term.

  • Except as expressly provided under the Hosted License Agreement, CNP shall have no obligation to provide installation, training or support services for the CNP Platform.

Hosted License means any course hosted or created on the e3 platform that is not an e3 library course. A license is used when a new Unit ID is created. A Hosted License includes courses created using the self- authoring tool from LAB, courses uploaded via SCORM uploader tool, custom developed courses deployed via the LearnForce LMS. The total Hosted License count includes all courses embodied on the platform regardless of enrolment, assignment rights or if the course has been archived (when functionality is available).
Hosted License means any course hosted or created on the Kineo System that is not a Kineo Course. A Hosted License includes courses created using the self-authoring tool from LAB, courses uploaded via SCORM uploader tool, and bespoke developed courses deployed via the Kineo System or Learning Cloud. The total Hosted License count includes all courses embodied on the Kineo System regardless of enrolment, assignment rights or if the course has been archived. Initial Term means the period specified as such in the Proposal. Intellectual Property Rights includes any and all intellectual and industrial property rights throughout the world, whether subsisting now or in the future, including any patent, inventions, design, rights in domain names, trade mark, copyright, database rights, know-how, trade secret, confidential information and any other proprietary right or form of intellectual property (whether protectable by registration or not). Kineo means City and Guilds Kineo Limited, a company registered in England and Wales with Company No 07150983 whose registered office address is Sovereign House, Church Street, Brighton, BN1 1SS.
